Buttaci Leardi & Werner LLC Advises PAX Health on Series of Strategic Behavioral Health Acquisitions

Buttaci Leardi & Werner LLC congratulates client PAX Health on the successful completion of a series of acquisitions that have positioned the company as one of the largest behavioral health businesses in the Northeastern United States.

Since its founding in March 2024, Red Bank, NJ-based PAX Health, backed by private equity sponsor HCAP Partners, a nationally recognized impact investor, and co-investor Hamilton Lane, has executed multiple transactions to expand access to comprehensive behavioral health services across New York, New Jersey, and Pennsylvania.

The company’s initial launch in 2024 was driven by the simultaneous acquisitions and merger of Behavioral Medicine Associates, Workers Compensation Psychological Network (WCPN), and Reservoir Health. This transaction created the foundation for PAX Health’s integrated platform and was supported by Buttaci Leardi & Werner’s Healthcare Business Transactions practice.

In 2025, PAX Health has continued its growth strategy with the acquisitions of three additional outpatient practices:

  • Harris Psychiatric Services
  • Richardson Psychiatric Associates
  • Neuropsychology and Counseling Associates

These practices, now operating under the PAX Health umbrella, enhance the company’s capacity in psychiatry, psychotherapy, and psychology for injured workers, and extend its expertise into neuropsychology and memory support services. By consolidating these practices under a single brand, PAX Health provides patients with streamlined access to multidisciplinary care while addressing long wait times for mental health services in the region.

Anthony DeSena, CEO and co-founder of PAX Health, noted, “These acquisitions strengthen our core service lines and extend our reach to underserved populations, particularly Medicaid and workers’ compensation patients. I am grateful to Vincent Buttaci and his team at Buttaci Leardi & Werner for their sophisticated legal counsel throughout this process, which involved multiple transactions in parallel and under an abbreviated timeframe.”

Vincent N. Buttaci, founder of Buttaci Leardi & Werner, stated, “It has been an honor to represent PAX Health through these transformative transactions. The company is redefining behavioral health delivery in this region, and we look forward to continuing to advise PAX Health on its day-to-day legal and regulatory needs.”

Through these combined transactions, PAX Health has established one of the most significant behavioral health platforms in the Northeast, expanding patient access and reinforcing its mission to deliver high-quality, efficient, and comprehensive behavioral healthcare.
