Advised PAX Health on the Formation and Expansion of a Multistate Behavioral Health Platform
PAX Health was formed with the objective of building an integrated behavioral health platform serving patients across New York, New Jersey, and Pennsylvania. Backed by private equity sponsor HCAP Partners and co-investor Hamilton Lane, the company pursued an accelerated growth strategy through platform formation and add-on acquisitions.
The initial platform was established through the simultaneous acquisition and merger of Behavioral Medicine Associates, Workers Compensation Psychological Network, and Reservoir Health. The structure required coordination across multiple sellers, parallel diligence tracks, and integration planning, all while aligning clinical operations, branding, and regulatory compliance. The transactions formed the foundation of PAX Health’s regional footprint.
Following platform formation, PAX Health continued its expansion through the acquisition of additional outpatient practices, including Harris Psychiatric Services, Richardson Psychiatric Associates, and Neuropsychology and Counseling Associates. These add-on transactions expanded the platform’s capabilities across psychiatry, psychotherapy, psychology, neuropsychology, and memory support services, with a particular emphasis on care for injured workers and underserved patient populations.
